Allgemeine Anweisungen für spanische Testamente

Wenn Sie ein spanisches Testament verfassen möchten, vergewissern Sie sich dass Sie Ihren Reisepass und die vollständigen Namen Ihrer Erben und Begünstigten haben und folgen Sie die unteren Schritte:-

  • Bezahlen Sie online mit Karte die Kosten von 175 Euro plus 21%IVA  für das Spanische Testament. Gesamtbetrag von 211,75 Euro.
  • Füllen Sie das spanische Testament Formular online aus. Sobald Sie das spanische Formular online ausgefüllt haben, erhalten Sie einen Entwurf des spanischen Dokuments zum überprüfen. Sobald das spanische Testament von Ihnen genehmigt wurde wird es von uns überprüft.

Ab dem Moment kann es vor einem Notar unterzeichnet werden. Mehr Information zur Unterzeichnung des Testaments vor einem Notar finden Sie unten.

PUNKTE, DIE SIE FÜR IHR SPANISCHES TESTAMENT BEACHTEN SOLLEN:

  • Es ist ratsam, ein spanisches Testament nur für spanische Vermögenswerte zu haben. So wird es einfacher und billiger, mit spanischen Vermögenswerten nach dem Tod umzugehen.
  • Nach spanischem Recht können Sie a) den Rechtstitel oder b) den Nießbrauch von spanischen Vermögenswerten an verschiedene Erben hinterlassen.

Zum Beispiel, wenn ein Ehepaar jeweils 50% eines spanischen Eigentums besitzt und drei Kinder hat, können sie sich gegenseitig das Nutzniessungsrecht ihres spanischem Eigentum hinterlassen und den Rechtstitel ihres spanischem Eigentum an die drei Kinder hinterlassen.

Nach dem Tod des ersten Ehegatten würde der überlebende Ehegatte 50% des spanischen Eigentums besitzen und eine lebenslange Nutznießung von dem Restlichen 50% des Vermögen des Verstorbenen Ehegatten haben, und die drei Kinder jeweils ein Drittel von diesem 50% erben.

Dann würden die Kinder nach dem zweiten Tod die restlichen 50% erben.

Dies wäre eine Option wenn sie klar haben dass die Kinder das spanische Eigentum schließlich erben sollen und Sie nicht in Lebenszeit es verkaufen möchten.

Bedenken Sie jedoch, dass, wenn eines der Kinder vor dem Tod des zweiten Eigentümers insolvent deklariert wird, verstirbt oder sich scheiden lassen würde, dies den Besitz verkomplizieren konnte. Es ist auch ratsam, dass jeder Erbe ein spanisches Testament hat, wenn dieser ein spanisches Eigentum erbt.

  • Wenn Sie ihr spanisches Eigentum nach dem Tod des ersten Ehegatten wahrscheinlich verkaufen, dann betrachten Sie die Möglichkeit den Rechtstitel einander zu überlassen, so dass Sie nicht von Ihren Kindern abhängig sind um verschiedene Dokumente zu unterzeichnen die einem Verkauf zustimmen.

Ein spanischer Notar wird dem Zentralen Testamentsregister in Spanien mitteilen, dass Sie zu gegebener Zeit ein Testament bei seinem Notariat unterzeichnet haben. Sie erhalten eine beglaubigte Kopie des Testaments, das als einfache Kopie bekannt ist, und der Notar behält das Original.
  • Schicken Sie den Notar das Testament und bringen Sie zur Unterzeichnung ihren gültigen Reisepass und zwei Stromrechnungen mit.
  • Wenn das spanische Testament in Deutschland unterzeichnet wird, muss es vor einem Notar unterzeichnet werden.
  • Bitten Sie den Notar, das spanische Testament mit einer Kopie ihres Reisepasses zu vereinigen und dafür zu sorgen, dass es mit der Haager Apostille beim Bundesverwaltungsamt abgestempelt wird. Mehr Info
  • Sobald Ihnen der Notar das spanische Testament zurückgegeben hat, senden Sie uns das spanische Testament an unser Hauptbüro, das Sie unter Kontakt finden können, und wir werden dafür sorgen, dass das spanische Testament im Zentralen Testamentsregister in Madrid aufgenommen wird. Sobald es im Zentralen Register registriert wurde, werden wir das Original Testament zur sicheren Aufbewahrung an Sie zurücksenden.
  • Wenn Sie in Zukunft Ihr nicht spanisches Testament aktualisieren und Sie Ihr spanisches Testament nicht widerrufen wollen, dann vergewissern Sie sich dass Sie sich auf das spanische Testament in Ihrem nicht spanischen Testament beziehen, da die meisten neuen Testamente mit dem folgenden Wortlaut beginnen:

„Ich widerrufe alle früheren Testamente“ – Dies nur ins Testament einsetzen wenn Sie Ihr spanisches Testament widerrufen möchten. If you require more than one Power of Attorney, please multiply 211.75 Euros by the amount of Powers of Attorney required.

Termination or suspension of legal services

In accordance with existing legislation funds provided on account of costs can be returned for any reason whatsoever within the period of 14 days from the date of receipt of the funds. In order for the funds on account of costs to be returned, the conditions set out below must be met. In order to request a return of funds please send an email to enquiries@mylawyerinspain.com or contact the lawyer handling your matter.
Conditions for return of legal costs paid on account of costs by visa

All monies paid on account of costs shall be returned to you, less any bank or visa charges (if any), if the legal services have not commenced or no disbursements have been incurred on your behalf.

In order to comply with Royal Legislative Decreee 1/2007 of 16 November which approved the reformed text of the General Law for Consumers and Users (Real Decreto Legislativo 1/2007 -16 Noviembre por el que se aprueba el texto reformado de la Ley General para la Defensa de los Consumidoresy Usuarios y otras leyes complementarias) and other legislation there will be no return of all of the monies paid on account of costs in the following circumstances:

1. If the monies paid have been spent on the legal costs or disbursements contracted and the legal services have been completed.

2. If the legal services have commenced but not completed then any remaining monies once the costs of the legal services and any disbursements have been deducted shall be returned.

3. If the monies have been paid to a third party on your behalf and with your consent.

Opening a Bank Account in Spain

Obtaining an NIE

Do you require an NIE number?

It does not matter where you intend to be located in Spain or where you need the NIE for. Our team of efficient professionals can apply for and obtain a NIE for you promptly.

An NIE number also known as a numero de identificacion de extranjeros or identity number for foreigners is a document that you will require in order to pay taxes in Spain upon the purchase or inheritance of a property or to open a bank account or incorporate a company.

You can apply for an NIE number in person at a local police station of the national police force or we can apply for an NIE number for you using a power of attorney. If you have instructed us to act for you in a purchase of a property, inheritance or company incorporation, we will apply for the NIE for you. If you specifically only need an NIE number and would like to instruct us to apply for this for you, then we will need you to sign a power of attorney in our favour.

If two people need an NIE then they can sign the power of attorney together before a notary. If they cannot sign the power of attorney together, then you will each need a power of attorney.

Tax Advice in Spain

The main taxes that a Non Resident would be liable to pay in Spain are as follows:

Income tax

Non resident tax payers who own urban property that is used by the owner for non-economic activities are liable to pay a tax called IRNR (impuesto sobre la renta de no residentes). This tax is based on the estimated income of 1.1% of the properties cadastral value (or 2% if the cadastral value has not been subject to revision or modification since 01.01.1994) and the applicable tax rate is 19%. The tax payable varies on whether or not the property is leased and an income is being obtained.

Capital Gains Tax

In general, capital gains obtained from the sale of real estate is determined by the difference between the sale value and the acquisition value, after deduction of the purchase and sales expenses incurred including notary, land registry & legal fees, estate agents commission and taxes.

In order to calculate the tax we require the purchase and sale deeds (escritura de compraventa) together with any invoices for expenses paid either upon the purchase or the sale. The tax rate for sales completed from 1st January 2014 is 19% on the capital gains obtained.The purchaser is under the obligation to withhold and deposit within one month from the date of the signature of the notarised sale deed, at the Tax office, the sum of 3% of the sales price.

For the non-resident vendor this withholding tax acts as a payment on account of the capital gains tax. Within four months from the date of signature of the sales purchase deed, the vendor will either pay the outstanding amount of capital gains tax including the 3% already paid on account or apply for the refund of any balance due if the capital gain is less than the 3% withheld. If there is a capital loss then an application should be made for a full refund. The Tax office should make the refund within six months and if they take longer, then interest is payable on the amount retained.

Inheritance tax

The taxable base is the total value of the assets at the time of the death. A 3% index is generally added to the resulting figures and depending on the relationship with the deceased, the residency of the heirs and beneficiaries, tax allowances apply. The nominal tax rate is 34% and this can be doubled if a non blood relative who is not a civil partner or spouse inherits Spanish assets. Spanish Property Ownership Options

If you have decided to buy a Spanish property then before you commit to the purchase, it is worth considering who will be the legal registered owners of the Spanish property at the local land registry. As the purchase costs of a Spanish property can exceed 10% of the purchase price, it is an important to consider this aspect before buying as important savings can be made when it comes to either selling or inheriting a Spanish property.

Under Spanish law, owners can own the legal title to the Spanish property and at the same time someone else can have a life interest in the Spanish property. For example parents could decide to buy a Spanish property in the names of their children and retain a life interest in the property. If you do decide to buy a Spanish property in the names of your children, then consider how to mitigate any of your children divorcing, dying before you or becoming bankrupt.

Also depending on who is paying for the Spanish property a different percentage of ownership can be registered. For example, someone is paying 75% of the purchase price and the other person is paying 25%, well these percentages of ownership can be registered at the local land registry.

A Spanish property can also be purchased in the name of a Spanish or foreign company.

There is no hard fast rule of advice regarding Spanish ownership options as each person’s circumstances are different.

Incorporating a Spanish Company

Do you require a Spanish Limited Company? Would you like to incorporate a Spanish company with a foreign company as its main shareholder?

We would be pleased to assist you with the incorporation of a Spanish limited company to either buy property or to do business in Spain. In order to assist you with this you will need to:

  • Complete the form below with proposed company names, shareholders and directors details and;
  • Complete the online draft power of attorney to incorporate a company and;
  • Sign our terms of business online to incorporate the company. The terms of business sets out the costs of the company incorporation;
  • Make an online payment for the legal costs of the company amounting to 950 Euros plus IVA. Total 1149,50 Euros

Once we have the above completed forms and the payment, we will apply for a company name in the name of one of the shareholders. Companies House will issue a certificate with the company name.

The power of attorney will need to be signed before a local public notary by at least one of the shareholders or directors and then stamped with the apostile of the hague and sent to us.

Once we receive the power of attorney we will open a provisional bank account in the name of the company and an initial payment of 3000 Euros will need to be transferred over to this account as the opening share capital for the company.

The bank will issue a certificate confirming the share capital and with the power of attorney and certificate from companies house with the company name we can incorporate the company before a local notary. After we have signed the deed of incorporation of the company we will apply for the CIF number (tax number) for the company, pay the stamp duty and register the company at companies house and provide the bank with the completed registration of the company at companies house.

Step by step Spanish limited company incorporation process

  • Complete online form with proposed company names, directors and shareholders details;
  • Complete draft power of attorney online;
  • Sign our terms of business online and upload copies of passports of the directors and shareholders;
  • Make online payment of 1028.50 Euros
  • We will check the power of attorney to incorporate the company and send you the final version by email;
  • Sign power of attorney before a local notary and arrange for power of attorney to be stamped with the apostile of hague and returned to us;
  • We will apply for the proposed company name;
  • Using the power of attorney we will open a bank account in the proposed company name;
  • Using the power of attorney we will apply for an NIE number (tax number) for the person(s) who signed the power of attorney;
  • Arrange a transfer of a minimum 3000 Euros to the company account
  • We will sign a deed of incorporation of the company;
  • Apply for the CIF number for the company;
  • Register the company at Companies House;
  • Provide you and the bank with the deed of incorporation

Tax & accounting obligations for a company in Spain

The tax year runs from 1 January to 31 December. Every quarter and yearly you will be required to file tax forms.

Company address

You will require a Spanish address for your company. If you choose to use our accounting services then our address may be used for your registered address.

Minimum share capital

The minimum sum of 3000 Euros must be transferred into the Spanish bank account and can be withdrawn once the company is finally registered.

Separation & Divorce
Under Spanish law you can opt for either a petition for separation or a petition for divorce. The main difference is that if you opt just for a separation, you cannot marry again until you obtain a divorce order. In both cases (Separation or Divorce) you can reach an out of court agreement that must be signed before a Judge, or you can agree the terms at court.

In order to obtain a divorce order it is not necessary to commence separation proceedings first.

International Divorce
We live in a global community where traveling and communicating between countries is fast and easy. As a result of this, the number of international couples, or couples with assets abroad is increasing. If you are planning to live in a civil partnership, or if you are already part of a civil partnership, advice may be required on how to regulate your relationship in order to prevent future stressful situations. “My wife, Lynne, and I enjoy so much living in the Scottish Borders where we are surrounded by natural beauty. However, we had been considering purchasing a property overseas for some time. Andalucía, serviced by several airports, including Málaga, seemed the most adequate destination for us. Buy a Spanish NIE

An NIE number also known as a numero de identificacion de extranjeros or identity number for foreigners is a document that you will require in order to pay taxes in Spain upon the purchase or inheritance of a property or to open a bank account or incorporate a company.

You can apply for an NIE number in person at a local police station of the national police force or we can apply for an NIE number for you using a power of attorney. If you have instructed us to act for you in a purchase of a property, inheritance or company incorporation, we will apply for the NIE for you. If you specifically only need an NIE number and would like to instruct us to apply for this for you, then we will need you to sign a power of attorney in our favour.

If two people need an NIE then they can sign the power of attorney together before a notary. If they cannot sign the power of attorney together, then you will each need a power of attorney.

The power of attorney can be signed before a notary in Spain or before a notary close to you. If you wish to sign the power of attorney in the UK then you will need to do the following:

  • Pay the cost of the power of attorney online of 175 euros plus IVA at 21% amounting to a total of 211.75€ using a visa card plus 80 € for each NIE required.
  • Complete the power of attorney form online
  • Once you have completed the power of attorney form online you will be sent a draft power of attorney document to read & check. We will also read & check the power of attorney

SIGNING THE POWER OF ATTORNEY BEFORE A NOTARY

  • Find your nearest notary in the UK by visiting the website below:

  • Take a valid and in force passport and two utility bills with you to the meeting with the notary
  • Ask the notary to attach a copy of the first page of your passport and of the photo page to the power of attorney
  • Ask the notary to unite the power of attorney and the passport pages together and then arrange for the stamp of the apostile of the hague to be attached to the document at the Foreign & Commonwealth Office

A power of attorney is a document that authorises either our team of lawyers or a trusted individual to act for you in Spain. Powers of attorney have to be signed before a notary or a public official and then legalised or stamped with the stamp of the Apostile of the Hague.

Before signing a power of attorney it is important to consider who will use the power of attorney and what powers should be granted. For example a power of attorney can be granted to buy a Spanish property, inherit a Spanish property, close a Spanish bank account, to issue legal proceedings or to incorporate a company.

General Instructions for Spanish Wills

If you would like to buy a Spanish will then please ensure you have your passport to hand and the full names of your heirs and beneficiaries and follow the steps set out below:

  • Pay the cost of the Spanish will online of 175 Euros plus IVA at 21% amounting to a total of 211.75 Euros using a visa card

  • Once you have completed the Spanish will form online you will be sent a draft Spanish will document to read & check. We will also read & check the Spanish will
  • Once the Spanish will has been approved by you and us, then it can be signed before a notary. See below for information on signing the Spanish will before a notary

POINTS FOR YOU TO CONSIDER FOR YOUR SPANISH WILL:

  • It is advisable to have a Spanish will for Spanish assets only. The Spanish will works with other wills that you may have and will make it easier and cheaper to deal with Spanish assets upon death.
  • Under Spanish Law you can leave a) legal title or b) a life interest in a Spanish property to different heirs.

For example if Mr & Mrs each own 50% of a Spanish property and have three children they can leave a life interest to each other in the Spanish property and legal title in the Spanish property to the three children. Upon death of the first spouse, the surviving spouse would have their own 50% of the Spanish property and a life interest in 50% of the deceased’s spouse share in the property and the three children would each inherit one third of 50%.

Then upon the second death the children would inherit the remaining 50%.

If you would like the children to eventually inherit the Spanish property and you do not wish to sell the property upon the first death of one of the owners, then legal title to the children and life interest to each owner, is a good option. However bear in mind that if any of the children became bankrupt, died or divorced before the death of the second owner, this could complicate ownership. Also it is advisable for each heir to have a Spanish will when they inherit Spanish property.

  • If you are likely to sell the Spanish property upon first death then consider leaving the legal title to each other, that way you will not need to depend on your children to sign any documents agreeing to a sale if they have inherited the legal title to the Spanish property.

For example Mr & Mrs would leave all assets in Spain to each other. Upon death the surviving spouse can sell the property once they have dealt with the Spanish inheritance

SIGNING THE SPANISH WILL BEFORE A NOTARY IN THE UK OR SPAIN

  • Find your nearest notary in the UK by visiting the website below:

  • The Spanish will can also be signed before a Spanish notary and you will need a translator to attend the signing with you. If you let us have the address of where you are staying we can find the nearest Spanish notary to you. The notary and translator’s fees can be paid on the day of the signing. If signing the Spanish will in Spain, then you will not need two independent witnesses. A Spanish notary will inform the Central Will Registry in Spain that you have signed a Spanish will at his notary at the given time and day. You will be given a certified copy of the will known as a copia simple and the notary will keep the original.
  • Send the notary the Spanish will document
  • Take a valid and in force passport and two utility bills with you to the meeting with the notary
  • If signing the Spanish will in the United Kingdom, then it will need to be signed before the notary and two independent witnesses over the age of 18. None of these witnesses should be entitled to any assets under the Spanish will
  • Ask the notary to arrange for the two independent witnesses to be present for the signing of the Spanish wills and they will sign the Spanish will in the notary’s and your presence
  • Ask the notary to unite the Spanish will and arrange for the stamp of the apostile of the hague to be attached to the will at the Foreign & Commonwealth Office
  • Once the Spanish will has been returned to you by the notary, send us the Spanish will to our Head Office which you can find in Contact Us and we will arrange for the Spanish will to be recorded at the Central Will Registry in Madrid. Once it has been recorded at the Central Wills Registry we will return the original will to you for safe keeping
  • If in the future you update your non Spanish will and you do not wish to revoke your spanish will, then make sure you refer to the Spanish will in your non Spanish will as most new wills start with the wording set out below:

I revoke all former wills – only include this wording in a non Spanish will if you wish to revoke your Spanish will.

If you do not wish to revoke your Spanish will in your new will then insert the following wording:

I revoke all former wills except my Spanish will dated……… This means your new non Spanish will does not revoke your Spanish will.

It is also advisable to exclude the Spanish assets in any non Spanish will.

Over the years our team of English speaking Spanish Abogados and British qualified solicitors have been asked many questions.

Below are a few questions with answers from questions we get asked on a regular basis. If you have a specific question related to a legal issue in Spain then why not contact us for an initial 30 minute FREE consultation.

WHAT ARE THE KEY DOCUMENTS RELATED TO SPANISH URBAN PLANNING?

  • Building License (“Licencia de Obra”) under which the building activity is initially allowed by the authorities on the basis of the technical project produced by an architect/expert technician initially presented to the authorities. It also verifies that the building activity proposed is in accordance with URBAN PLANNING SCHEME (PGOU) provisions and minimum requirements (such as “urban” qualified land, building limits, etc). This license should be obtained before starting building work.
  • Final Building Certificate (“Certificado Final de Obra”) issued by architect/ expert technician which verifies that the building activity has been completed in accordance with the Building License initially granted.
  • First Occupation License (“Licencia de Primera Ocupación”) which confirms that the housing is ready to be occupied and electricity/water supplies can be connected.

DO I NEED A SPANISH WILL?

If there is no valid Will, then the Estate will pass in accordance with intestacy rules, which set out who is entitled to inherit. Intestacy rules vary in each country so it is important to ensure the correct ones are observed.Spanish Intestacy Law fix a list of beneficiaries who would be entitled to inherit:

  • Descendants (the closest have preference i.e. children, grandchildren)
  • If no descendants, ascendants (parents, grandparents…).
  • If none of the above, survivor spouse
  • Brothers/sisters, if none nephews/nieces
  • Other collateral relatives up to 4th grade i.e. cousin
  • Spanish State, if so the assets in the Estate will be distributed as follows: 1/3 to local charities/social entities in the municipality of deceased’s domicile, 1/3 to charities in the province, 1/3 subject to Cabinet’s decision to the most convenient purposes.

If Spanish Intestacy Laws apply the beneficiaries may not inherit the assets as you would have wished, therefore a Spanish will is highly advisable.

In some cases the Intestacy Rules can have profound implication for example if you are neither married nor in a civil partnership but you own a property in Spain with your partner and you die intestate, your partner could have difficulty in establishing their rights. . Your share in any Spanish property will be inherited by whoever is entitled to it according to the applicable Intestacy Laws and your partner may end up sharing the property with that person without being in the position to sell it unless an agreement with the co-owner is reached.

The benefits of making a Spanish will are:

  • You will leave your assets to your chosen heirs
  • It will be quicker, less expensive and easier to deal with the Spanish estate upon death
  • You can mitigate Spanish Inheritance Tax.

CAN I HAVE MY PURCHASE CONTRACT REGISTERED AT THE LAND REGISTRY?

The Sale-Purchase private contract cannot be registered even if it is perfectly valid because the Land Registry Regulation requires that certain transactions must be notarised in order to have access to the Registry. Registration is not compulsory but if registered the owner of the property protects their rights any third party who may claim other non registered rights on the property. Therefore it is advisable to sign a public sale-purchase deed before a notary which can be duly registered. Nevertheless it must be clarified that the private Sale-Purchase contract is perfectly valid if it complies with Spanish Law, so the presence and involvement of a notary is not a validity requirement but a registration requirement.

BANK REPOSSESSION PROCEEDINGS. WHAT IS THE PROCEDURE UNDER SPANISH TO HAVE THE PROPERTY SOLD WHEN THE MORTGAGE CANNOT BE PAID?

When judicial proceedings are issued to enforce a mortgage for failure to make regular payments there are basically three options that can be agreed by a judge (as per Spanish Ley de Enjuiciamiento Civil art. 691 ss):

  • Public Auction (“Subasta”)
  • Private agreement (“Convenio Privado de Realización”)
  • Enforcement by specialised agent or company (“Realizacion por persona o entidad especializada”)

If you are falling into arrears it is advisable to speak to your bank to discuss available options. We can assist you in your negotiations with the lender.

IBI: WHAT IS CHARGED AND HOW IS IT CALCULATED?

In essence the local tax known as IBI which stands for “Impuesto sobre Bienes Inmuebles” charges the right of ownership/usufruct/surface/administrative concession on urban or rustic real estate, being calculated and collected annually by the local authority in charge of the municipality where the property is located.

This tax is calculated on the basis of the “Cadastral Value” as per the Cadastral Registry records, which includes the value attributable to the land and the value attributable to the building if any.

When fixing cadastral values various criteria is taken into account such as the urban planning circumstances of the land, market value, building circumstances, etc) . The cadastral value can be updated by applying certain indexes which may vary in each specific case. It is possible to challenge cadastral values in accordance to applicable Law.

By applying certain rates on the cadastral value the tax payable is obtained. There are maximum and minimum rates which can be increased by each Town Hall under certain requirements. There are certain benefits which may reduce the payable tax if legal requirements are met in certain cases (i.e. official protection property)

IBI: WHAT HAPPENS IF IT IS NOT PAID?

If the IBI receipt is not paid within the legal term stated in the receipt issued by the local authority there will be a surcharge and under certain circumstances the local authorities can initiate legal proceedings to recover payment which could even lead to embargo (charges) procedures.If there are outstanding bills for IBI and a property is sold, the IBI debts will be passed on to the new owner who will assume the debt.

IF A PROPERTY IS RENTED: WHO SHOULD PAY THE IBI? THE LANDLORD OR TENANT?

The tax liability is for the owner so the tax receipt will be issued in the landlord’s name.What happens if I stop paying my Spanish mortgage loan? Is the Spanish bank entitled to claim against my assets in the UK?

The bank can initiate a legal proceeding in Spain by taking legal action if the monthly mortgage charges are not paid. Each bank has its own criteria but usually if there are three consecutive outstanding bills the bank will initiate the proceeding which could lead to an embargo on the property . However the bank can offer alternative solutions to avoid the said proceeding by renegotiating the mortgage loan terms.

If the bank initiates legal proceedings in Spain, the Court will decide whether or not to authorise an embargo on the Spanish property and a a sale at public auction if the debt remains unpaid.

As the Spanish property guarantees the loan, the claim will be against it. But if the sale of the property does not cover the outstanding mortgage loan, the bank can claim against other assets owned by the debtor either in Spain or abroad. Therefore the handing over the keys to the Spanish property to the bank is not accepted as a solution to satisfy the outstanding debt. The debtor’s liability affects any assets worldwide. So if there is a property in the UK in your name it is possible that the Spanish bank can make a claim against it.

COMMUNITY OF OWNERS IN SPAIN: WHAT YOU SHOULD KNOW!

If you own a holiday home at a complex in Spain you must be aware of the applicable legal system and your Community of Owners´ internal rulings as described in the Community Statutes which will definitely affect your property and your rights or duties as an owner.Do not ignore the Community of Owners General Assembly Meetings as if you do you may miss the opportunity to vote on important decisions such as annual budget approval or maintenance costs which at the end of day will affect your pocket.

At the General Meetings all the owners of the complex are invited to attend although those owners who are not up to date in the payment of the Community fees are only allowed to attend but they will in general terms be excluded from their right to vote.

It is essential to ascertain that the Meetings are valid in accordance with the Law and the Community Statutes as the agreements agreed at a Meeting which has not complied with the said requirements may not be valid.

The Meetings should observe the following requirements:

1.-Previous step: official notice of the general meeting

  • The Meeting should be called by the President of the Community (or by those Owners who have suggested it if the President does not) either personally by the President or through the Secretary or Administrator.
  • There is a minimum notice period of six days for Ordinary Meetings which can be extended under the Statutes but never shortened.
  • Notice should be sent to the address of each owner or through the publication on a notice board or common place used for the publication of announcements.
  • The Notice should contain the date, hour (there must be at least 30 minutes between the first and the second calling of the general meeting) and the place in which the Meeting will be held, as well as the Agenda for the Meeting.

2. – General Meetings & voting:

All owners may attend the Meeting, in person or through a representative, and those who are up to date in the payment of the Community fees will decide and vote. Exceptionally debtors will be entitled to vote if they have either disputed their debts judicially or deposited the funds with a Judge or Notary or if there are certain rules re quorum.

In what regards the quorum requirement, if a majority of owners representing the participation shares (quotas) are not present at the time of the first calling of the meeting, the meeting shall be called again on second call without the need for a quorum.

Requirements for voting of resolutions will vary depending on the kind of agreement or decision to be taken.

  • Unanimous vote: amendment of constitutional deed (i.e. quotas) or Statutes.
  • Qualified majority of 3/5 (Owners and Quotas) for establishing or removing common elements of general interest (i.e. security).
  • Majority of 1/3 (Owners and Quotas) for agreements on special occurrences, as per request of any Owner, in connection with common infrastructure for access to telephone and television, as well as new energy systems (i.e. solar power).
  • Simple majority: the remaining resolutions.

Owners who do not attend general meetings that require unanimity or a qualified majority will be considered to be in favour of a resolution if they do not declare their disagreement by any reliable means during the period of 30 calendar days from the meeting.

3. – General Meeting Resolutions & Minutes or :

The Minutes of the meetings will be drawn up by the Secretary and filed in the Book of Minutes (which must be recorded by the local Land Property Registrar) and signed by the President. A copy of the Minutes must be sent to each Owner.

The Secretary must keep all the documentation (notices, communications, authorisations and other documents) for five years.

The resolutions/decisions of the General Assembly (Meetings) can be challenged in the Courts under certain circumstances i.e. They are contrary to the Law or to the Statutes (i.e. the General Assembly notice is not observed or the Minutes do not reflect what really happened in the meeting)

The resolution/decision must be challenged within the period of time legally stated (one year or three months depending on the case) which begins to run from the notification to the Owners in the terms set out (individually or by notice board).

The resolutions can be challenged by the President who represents the Community or by any owner who considers that it is convenient as long as he is up to date with Community fees (although there are some exceptions to this general rule).

The agreements contained in such challenged resolutions will be:

  • Voidable agreements (those which imply a breach of the Community Statutes or the Horizontal Law Property, these agreements can become valid under certain circumstances).
  • Automatically void agreements (those that imply either a breach of any mandatory or prohibitive Law, or they are contrary to morals or public order, or they have been adopted fraudulently in Law, therefore these agreements cannot be rectified as they are null and void).

It is important to highlight that challenging the agreements will not stop them from being executed unless the Court of Justice states so as a provisional measure.

IS THERE A POSSIBILITY TO REGULARISE A PROPERTY WHICH HAS BEEN ILEGALLY BUILT IN ANDALUCIA?

A new Regulation has been passed by the Andalusian government with the aim to provide a legal framework to regularise, if possible, register illegal properties built on non-urbanisable land.It refers not only to individual housing but also to complexes and urbanisations on rural areas and it covers a wide range of irregular situations.

In respect of individual housing it distinguishes legal or potentially legal properties from illegal properties, including those which cannot be challenged by local authorities as the term within which they can be challenged has expired. Different scenarios are considered such as houses built without building permission but observing Planning requirements or those which do not even comply with Planning regulations.

It will be necessary to look at each specific case and the available route for legalisation will vary depending on current circumstances, subject to the local authorities control, so this cannot be considered as a general and indiscriminatory regularisation tool.

The fact that the Andalusian government facilitates the regularisation of these properties is good news not only for current owners who are willing to sell an irregular property or who find themselves in serious difficulties when trying to connect electricity, but also to potential buyers who are looking for a mortgage loan which would never be granted by a bank unless Planning regulations are observed.

Alex Radford (Founding Partner)

Alex Radford is a dual qualified English Solicitor & Spanish Abogado.

Alex grew up between Spain and the UK and started his legal career in 1999 at a regional law firm in the South West of England where he specialised in Real Estate, Personal Injury, Commercial Law and Timeshare.

In 2003, Alex returned to Spain and became a Partner in the Property & Commercial department of a local firm and then joined Irwin Mitchell abogados, part of Irwin Mitchell LLP in September 2008 as Head of Real Estate & Private Client. Following the merger between Irwin Mitchell abogados & Cremades & Cavlo Sotelo abogados in October 2013 Alex decided to incorporate this firm with fellow Irwin Mitchell abogado colleagues.

Alex is a regular speaker at the A Place in Sun Live Exhibition where he advises clients on how to buy property safely and securely in Spain.

Isabel Pérez–Blanco Muñoz (Founding Partner)

Qualified as Abogado with a specialisation in European Law (1998) and completed a Masters in Corporate Law at the Instituto de Empresa (IE) in Madrid (1999).

Isabel started working as a legal advisor for a National Association in Madrid in 2000, she moved to Marbella in 2003 where she joined a local law firm first and Pricewaterhouse Coopers in Malaga later. In 2006 she joined Irwin Mitchell Abogados where she headed the real estate team and worked as a Senior Associate Abogado. Following the merger between Irwin Mitchell abogados and Cremades & Calvo Sotelo abogados in October 2013 Isabel decided to incorporate this firm with her colleagues.

Rosario Genova Alguacil (Founding Partner)

Rosario has been practising law since 1996. She obtained her degree at Granada University and has a Masters in Urban Planning.

She has vast experience in civil and commercial litigation and in cross border disputes.

Rosario joined Irwin Mitchell Abogados in 2010 as Head of the Litigation department in Malaga, and continued leading this department after the merger with Cremades & Calvo Sotelo abogados in 2013. Her areas of expertise include commercial and property disputes, family law, enforcement of foreign judgements & court orders, class actions and general litigation. She is regularly instructed to act as an expert in courts out of Spain and works closely with colleagues from other jurisdictions on a wide range of matters including cross border disputes, divorce, personal injury matters and commercial litigation.

She was the coordinator of the International section of the Malaga Bar Association, member of AEAFA (Spanish Family Lawyers Association), and member of STEP (Society of Trust and Estate Practitioners). She is also member of the Committee of BSLA (British and Spanish Law Association).

She collaborates with Málaga School of Law teaching Civil Law and International Family Law.

Carmen Blanco Vallejo

Licensed in Law from the University of Malaga where she won the prize for the best student of her graduation year in 1997.

Carmen is a specialist employment lawyer who worked for PricewaterhouseCoopers from 1998-2013. During her time at PWC she spent time in the offices of Seville, Madrid and Malaga and advised national and international clients on a whole range of employment matters.

Carmen has developed her professional career advising companies in the area of employment, labour relations and Social Security (employments policies, contracts, wage systems, due diligence, redundancies). Since leaving PWC Carmen has worked as a consultant for various clients.

Carmen also has experience as an insolvency administrator and has specific training in Labour-Insolvency proceedings and bankruptcy mediation.

She has collaborated with radio programs and newsletters where she has contributed to the labour enquiries section (e.g. Sur in English), and mantains a solid relationship with the University of Málaga and International University of Andalucia where she lectures on labour and Social Security matters to students and assists post graduate and professional students.

Antonio Berdonces Vivancos

Is the Honorary British Consul for Murcia and a Spanish abogado. Antonio studied law at the University of Murcia and qualified as an abogado in 1989 after which he completed an MBA at the Autonomous University of Madrid followed by a PHD in Economics.

Before practising law full time Antonio worked as an inspector of Credit Institutions and Savings Banks and became a Faculty member of the School of Applied Finance known as Analistas Financieros Internacionales and provided training courses to financial institutions and to new inspectors and became a Specialist in the Spanish Financial System. After his specialist financial training Antonio worked as Legal Counsel and chief clerk in Notary offices in Murcia, Alicante & Almeria and completed his Masters in Urban Planning from the University of Alicante, became a Real Estate Administrator (Administrador de Fincas) and a Registered Auditor of Accounts.

Antonio now works full time as a lawyer and manages the offices in Almeria, Murcia and Mar Menor and specialises in acting for foreign clients in property, inheritance, tax, corporate and family legal matters.

Martin James Hayes
